Terms of Service

1. Agreement to Terms

By accessing or using 90mod ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Platform.

2. Description of Service

90mod is a managed business operating system that provides integrated modules for CRM, finance, operations, projects, HR, marketing, support, inventory, commerce, and AI intelligence. The Platform is provided as a hosted, multi-tenant service maintained by 90mod.

3. Accounts & Access

3.1 Registration

To use the Platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Organization Accounts

Each account belongs to an organization. Organization administrators control user access, roles, and permissions within their tenant. 90mod is not responsible for internal access control decisions made by organization administrators.

3.3 Account Security

You are responsible for all activity under your account. If you suspect unauthorized access, notify us immediately.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to other organizations' data or Platform infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Platform.
• Introduce malicious code, scripts, or automated data collection mechanisms.
• Interfere with or disrupt the Platform's infrastructure or other users' access.
• Use the AI assistant to generate content that is harmful, deceptive, or violates applicable law.
• Resell, sublicense, or redistribute access to the Platform without written consent.
• Exceed your organization's AI usage allocation or attempt to circumvent usage controls.

5. Your Data

5.1 Ownership

You retain ownership of all data you enter into the Platform ("Your Data"). 90mod does not claim ownership of Your Data.

5.2 License to Operate

You grant 90mod a limited license to host, store, process, and display Your Data solely to provide and improve the Platform. This license terminates when you delete Your Data or close your account.

5.3 Data Export

You may export Your Data at any time through the Platform's built-in export features. Upon account termination, we will provide a reasonable period (30 days) for data export before deletion.

5.4 Data Isolation

Your Data is logically isolated from other organizations' data at the database query level. Multi-tenant isolation is enforced automatically by the Platform.

6. Subscription & Payment

6.1 Plans & Pricing

Access to the Platform requires an active subscription. Pricing, included modules, and AI usage allocations are determined by your selected plan tier. Contact us at 90mod.com/contact for current pricing.

6.2 Billing

Subscriptions are billed monthly or annually in advance via Stripe. You authorize recurring charges to your designated payment method.

6.3 Refunds

Monthly subscriptions: no refunds for partial months. Annual subscriptions: pro-rated refund available within the first 30 days. After 30 days, no refunds for the remainder of the annual term.

6.4 Price Changes

We may adjust pricing with 30 days' written notice. Early-partner pricing is locked for the duration of the initial contract term.

7. Service Level

90mod commits to maintaining Platform availability and performance as described in our Service Level Agreement. The SLA is incorporated into these Terms by reference.

8. AI Usage

8.1 AI Governance

AI capabilities are governed at the organization level. Your organization's AI budget, model preferences, and usage limits are enforced by the Platform.

8.2 AI Output

AI-generated content is provided "as is." While we strive for accuracy, AI outputs may contain errors. You are responsible for reviewing and validating AI-generated content before use in business decisions.

8.3 AI Data Use

Your AI conversations and prompts are not used to train third-party AI models. AI processing occurs within the context of your organization's data scope.

9. Intellectual Property

The Platform, including its codebase, design system, documentation, and all associated intellectual property, is owned by 90mod. These Terms do not grant you any rights to our intellectual property except the limited right to use the Platform under your active subscription.

10. Limitation of Liability

To the maximum extent permitted by law:

• 90mod's total liability for any claim arising from these Terms or your use of the Platform shall not exceed the fees paid by you in the 12 months preceding the claim.
• 90mod shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• 90mod shall not be liable for service interruptions caused by events beyond our reasonable control (force majeure).

11. Indemnification

You agree to indemnify and hold harmless 90mod, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

12.1 By You

You may cancel your subscription at any time. Access continues until the end of your current billing period.

12.2 By Us

We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk. We will provide notice where practical.

12.3 Effect of Termination

Upon termination, you have 30 days to export Your Data. After 30 days, Your Data will be permanently deleted. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) will survive.

13. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration, except where prohibited by law.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and SLA, constitute the entire agreement between you and 90mod regarding your use of the Platform.
